1. About These Terms

These Terms of Use ("Terms") govern your use of the Jobs Feed web part and any related products, software, and services ("Products") provided by Think Share Limited ("we," "us," or "our"), a company registered in Scotland with company number SC573384 and registered office at 8-10 Corn Exchange Road, Stirling, United Kingdom, FK8 2HX.

The Products are distributed via Microsoft AppSource and the Microsoft SharePoint Marketplace. By installing, accessing, or using our Products, you confirm that you accept these Terms and agree to comply with them. If you do not agree to these Terms, you must not use our Products.

These Terms apply to the organisation installing the Product ("Customer") and, where applicable, individual end users within that organisation. The Customer is responsible for ensuring that all end users comply with these Terms.

2. Changes to These Terms

We may revise these Terms at any time by amending this page. Please check this page regularly to take notice of any changes, as they are binding on you. Your continued use of our Products following any changes constitutes acceptance of those changes.

3. Licence to Use Our Products

Subject to these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use our Products within a single Microsoft 365 tenant for your internal business purposes.

You may:

  • Install and use our Products within your organisation's Microsoft 365 tenant
  • Configure our Products according to the provided documentation
  • Use our Products for their intended purpose
  • Copy, modify, or create derivative works based on our Products
  • Reverse engineer, decompile, or disassemble our Products except where permitted by applicable law
  • Redistribute, sell, lease, sublicence, or otherwise transfer our Products to third parties
  • Remove or alter any proprietary notices, labels, or marks
  • Use our Products for any unlawful purpose or in violation of any applicable laws
  • Install the Product in more Microsoft 365 tenants than covered by your licence
  • Think Share Limited, not Microsoft, is the publisher of the Products and is solely responsible for them
  • Microsoft has no obligation to provide any maintenance or support for the Products
  • Microsoft may share your contact information and transaction details with us as the publisher, in accordance with Microsoft's commercial marketplace terms
  • Use of Microsoft AppSource and related Microsoft services is governed by Microsoft's own terms and privacy policies, which are separate from these Terms
  • Microsoft is a third-party beneficiary of these Terms solely to the extent necessary to enforce them against you where required by Microsoft's policies
  • Read access to SharePoint site content and lists
  • Read access to user profile information
  • Access to Microsoft 365 services as required for the advertised functionality
  • Transmit or store any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
  • Infringe any intellectual property rights of any third party
  • Introduce malware, viruses, or any other malicious code into your tenant or ours
  • Attempt to gain unauthorised access to any systems, networks, or data
  • Circumvent or disable any security features of the Products or the Microsoft 365 platform
  • Use the Products in a manner that places an unreasonable load on Microsoft's or our infrastructure
  • Resell or provide access to the Products to third parties outside your organisation without our prior written consent
  • Our Products will meet your specific requirements
  • Our Products will be uninterrupted, timely, secure, or error-free
  • The results obtained from use of our Products will be accurate or reliable
  • Our Products will be compatible with all future versions of Microsoft SharePoint or Microsoft 365
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, business, goodwill, or anticipated savings
  • Our total liability to you for all claims arising under or in connection with these Terms shall not exceed the amount paid by you for the relevant Product in the 12 months preceding the claim
  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded or limited under Scots law

4. Licensing, Subscription & Payment

Licence Model: Our Products are available on a per-tenant subscription basis. The specific licence tier, pricing, and permitted number of users are as agreed at the point of purchase via Microsoft AppSource or directly with ThinkShare.

Billing: Where the Product is purchased through Microsoft AppSource, billing is managed by Microsoft in accordance with Microsoft's commercial marketplace terms. Where purchased directly from ThinkShare, payment terms will be as set out in your order confirmation.

Non-Payment: If fees are not paid when due, we reserve the right to suspend or terminate access to the Products without further notice, subject to any cure period set out in your order.

Free Trials: Where a free trial is offered, it is subject to these Terms. At the end of the trial period, continued use requires a paid subscription. We reserve the right to modify or withdraw trial offers at any time.

Refunds: Purchases made via Microsoft AppSource are subject to Microsoft's refund policy for AppSource and Azure Marketplace. Purchases made directly from ThinkShare are non-refundable except where required by applicable law or as expressly agreed in writing.

5. Microsoft AppSource & Marketplace

Our Products are made available through Microsoft AppSource and the Microsoft SharePoint Marketplace. You acknowledge that:

6. Microsoft Graph API Permissions & Data Access

In order to function, our Products may request certain permissions within your Microsoft 365 tenant via Microsoft Graph or SharePoint Framework APIs. The permissions requested will be clearly disclosed in the solution manifest and during installation. These may include, but are not limited to:

We will only request the minimum permissions necessary for the Product to operate as described. You, as the tenant administrator, are responsible for reviewing and approving the requested permissions before deploying the Product. We will not use these permissions to access data beyond what is necessary to deliver the Product's functionality.

7. Tenant Data & Security

Data Residency: Our Products operate within your Microsoft 365 tenant environment. Where data is processed outside your tenant (for example, via ThinkShare-hosted services), we will notify you of the applicable data regions.

Security: We apply industry-standard security practices in the development and maintenance of our Products. However, you remain responsible for the security configuration of your own Microsoft 365 tenant, including appropriate access controls and permissions management.

Security Incidents: In the event we become aware of a security incident affecting our Products that may impact your tenant data, we will notify you without undue delay and provide details of the incident and any remediation steps.

Data Controller / Processor: For the purposes of UK GDPR, where our Products process personal data on your behalf within your tenant, you act as the data controller and Think Share Limited acts as a data processor. We will process such data only in accordance with your instructions and these Terms.

8. Updates & Version Changes

We may release updates, patches, or new versions of our Products from time to time. Where the Product is installed via the Microsoft SharePoint App Catalog, updates may be applied automatically or may require manual approval by your tenant administrator, depending on your organisation's settings.

We will endeavour to provide reasonable notice of any breaking changes or major version updates that may affect existing functionality. However, we reserve the right to modify, deprecate, or discontinue features with reasonable notice. Continued use of the Products following an update constitutes acceptance of the updated version.

We will maintain compatibility with supported versions of Microsoft SharePoint Online and Microsoft 365 as per Microsoft's own product lifecycle policies. We are not responsible for loss of functionality arising from Microsoft's own platform changes.

9. Support

Support for our Products is available to customers with an active licence. Support requests should be submitted via our client portal at https://thinkshare.co.uk/tickets or by email to hello@thinkshare.co.uk.

We will use reasonable endeavours to respond to support requests within a reasonable timeframe during our normal business hours (Monday to Friday, 9:00am to 5:30pm GMT/BST, excluding Scottish public holidays). Response times may vary based on the severity and complexity of the issue.

Support does not include customisation, consultancy, or configuration services beyond the standard operation of the Product as documented. Such services are available separately and subject to a separate engagement.

10. Acceptable Use

You agree to use our Products only for lawful purposes and in a manner consistent with these Terms. Without limiting the foregoing, you must not use our Products to:

11. Third-Party Services

Our Products are built on and integrate with Microsoft SharePoint Online and Microsoft 365 services. Your use of these Microsoft services is governed by your agreement with Microsoft and is entirely separate from these Terms. We are not responsible for the availability, accuracy, security, or content of any Microsoft or other third-party services.

Any changes Microsoft makes to its platform, APIs, or services that affect the functionality of our Products are outside our control. We will endeavour to update our Products to maintain compatibility but do not guarantee uninterrupted operation in the event of third-party platform changes.

12. Intellectual Property Rights

All intellectual property rights in our Products, including but not limited to copyright, trade marks, and design rights, are owned by us or our licensors. Nothing in these Terms grants you any rights in our intellectual property other than the limited licence set out in section 3.

You retain all intellectual property rights in any data or content you input into or access through our Products. You grant us a limited licence to process such data solely for the purpose of delivering the Products to you.

13. Export Controls & Compliance

Our Products are made available via Microsoft AppSource, which is accessible globally. You are responsible for ensuring that your installation and use of our Products complies with all applicable laws and regulations in your jurisdiction, including export control laws, data protection regulations, and sector-specific compliance requirements.

You must not install or use our Products in any jurisdiction where doing so would be prohibited by applicable law or where our Products have not been approved for use.

14. Telemetry & Usage Data

Our Products may collect anonymised usage and diagnostic telemetry data (such as feature usage statistics and error logs) to help us improve the Products and diagnose issues. This data does not include any of your tenant's content or personal data of your end users.

15. Disclaimer of Warranties

Our Products are provided "as is" and "as available" without any warranties or representations of any kind, whether express or implied, to the fullest extent permitted by law.

We do not warrant that:

17. Indemnification

You agree to indemnify, defend, and hold harmless Think Share Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with: (a) your use of our Products in breach of these Terms; (b) your violation of any applicable law or regulation; or (c) any content or data you input into or access through our Products.

18. Termination

We may terminate or suspend your right to use our Products immediately upon written notice if you breach any provision of these Terms. Upon termination, you must cease all use of our Products and uninstall them from your Microsoft 365 tenant.

You may terminate your subscription at any time by uninstalling the Product from your tenant and cancelling your subscription via Microsoft AppSource or by contacting us directly. Termination does not entitle you to a refund except where required by applicable law.

Termination shall not affect any rights or obligations that have accrued prior to termination. Clauses that by their nature should survive termination shall do so, including clauses 12, 16, and 17.

19. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and us regarding the use of our Products and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: No failure or delay by us in exercising any right under these Terms shall operate as a waiver of that right.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

20. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Scotland.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Scottish courts.
